These Terms govern your access to and use of the OSL-TRADE platform, websites, applications and related services. Please read them carefully before using the platform.
These Terms & Conditions ("Terms") constitute a binding agreement between you ("you", "your" or "the user") and OSL-TRADE and its relevant licensed affiliates (together "OSL-TRADE", "we", "us" or "our"). By registering for an account, accessing our websites, or using any OSL-TRADE product or service, you confirm that you have read, understood and agree to be bound by these Terms and by any product-specific terms, disclosures and policies referenced within them.
This document is a template prepared for a demonstration platform. It is provided for general information only, does not constitute legal advice, and should not be relied upon as a substitute for professional counsel or the definitive terms issued by a regulated operator in your jurisdiction.
1. Acceptance of Terms
By creating an account or otherwise using the platform, you accept these Terms in full. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, in which case "you" refers to that entity.
We may amend these Terms from time to time to reflect changes in our services, applicable law or regulatory requirements. Where changes are material, we will provide reasonable notice through the platform or by email. Your continued use of the platform after the effective date of any update constitutes acceptance of the revised Terms.
2. Eligibility
To open an account you must be at least 18 years of age, have full legal capacity to enter into a binding contract, and not be a resident of, or accessing the platform from, a jurisdiction in which our services are restricted or prohibited. You are responsible for ensuring that your use of the platform is lawful in your jurisdiction.
Certain products and features are available only to users who meet additional eligibility criteria, such as professional or institutional classification, and may require enhanced verification. We reserve the right to refuse, suspend or limit access where eligibility cannot be established to our reasonable satisfaction.
3. Accounts
You must provide accurate, current and complete information during registration and keep it up to date. As part of our onboarding and ongoing compliance obligations, you agree to complete identity verification (KYC) and to provide information and documentation reasonably requested for anti-money-laundering, sanctions screening and fraud-prevention purposes.
You are responsible for safeguarding your login credentials, enabling available security features such as two-factor authentication, and for all activity that occurs under your account. You must notify us promptly of any unauthorised access or suspected security breach. We are not liable for losses arising from your failure to keep your credentials secure.
4. Services
OSL-TRADE provides digital-asset trading, conversion, payment, custody and related services, which may vary by region and account type. We may add, modify, suspend or discontinue any service, product or feature at any time, and we may set or change limits on transactions, balances or functionality where required for operational, risk-management or regulatory reasons.
Availability of the platform is not guaranteed to be uninterrupted or error-free. We may carry out scheduled or emergency maintenance, and we may restrict access during periods of market disruption, suspected misuse, or where required by a competent authority.
5. Risks
Trading and holding digital assets involves significant risk. Prices of virtual assets can be extremely volatile and may move sharply against you, resulting in the partial or total loss of your funds. Leveraged and derivative products can amplify both gains and losses and are not suitable for all users. You should only transact with amounts you can afford to lose.
You acknowledge that you are solely responsible for your own investment decisions. OSL-TRADE does not provide investment, tax or legal advice, and nothing on the platform constitutes a recommendation or solicitation to buy, sell or hold any digital asset. 6. Fees
Your use of the platform may be subject to trading, conversion, deposit, withdrawal, payment and network fees. Applicable fees are described on our Fees page and, where relevant, disclosed to you before you confirm a transaction. Network fees charged by underlying blockchains are outside our control and may fluctuate.
We may update our fee schedule from time to time. You are responsible for any taxes, duties or similar charges that apply to your transactions, and for reporting and remitting them to the relevant authorities.
7. Prohibited Use
You agree not to use the platform for any unlawful, fraudulent or abusive purpose. Prohibited activities include, without limitation: money laundering or terrorist financing; circumventing sanctions or geographic restrictions; market manipulation, wash trading or other forms of market abuse; unauthorised access to our systems; and the use of the platform to facilitate any activity that infringes the rights of others.
We may investigate suspected violations and take appropriate action, including suspending or terminating accounts, reversing or freezing transactions, and reporting activity to law-enforcement or regulatory authorities where required.
8. Limitation of Liability
To the maximum extent permitted by applicable law, OSL-TRADE and its affiliates, officers and employees shall not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data or goodwill, arising out of or in connection with your use of the platform. The services are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied.
Nothing in these Terms excludes or limits any liability that cannot lawfully be excluded or limited, including liability for fraud or for death or personal injury caused by negligence.
9. Governing Law
These Terms, and any dispute or claim arising out of or in connection with them or their subject matter, are governed by and construed in accordance with the laws of the jurisdiction of the OSL-TRADE entity with which you contract, as identified during onboarding. You agree to submit to the exclusive jurisdiction of the courts of that jurisdiction, subject to any mandatory consumer-protection rights available to you locally.
Where required, disputes may be referred to binding arbitration in accordance with the applicable rules specified in your account documentation.
